Indipix Terms and Conditions

Welcome to Indipix (“app,” “service,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your use of the Indipix mobile application, an online template-based banner editing app available on the Google Play Store and Apple App Store.

By downloading, installing, accessing, or using Indipix, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the app.

1. Agreement to Terms

Welcome to Indipix (“app,” “service,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your use of the Indipix mobile application, an online template-based banner editing app available on the Google Play Store and Apple App Store.

By downloading, installing, accessing, or using Indipix, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the app.

2. Description of Service

Indipix is an online template-based banner editing application that allows users to:

• Browse and select from various banner templates.
• Edit templates using uploaded photos, videos, and audio.
• Customize templates with text, images, and personal information.
• Save and share edited banners.
• Access free and paid templates through a subscription-based model.
• Share templates with other users.

The service is provided “as is” and “as available” for personal, non-commercial use unless otherwise agreed in writing.

3. User Eligibility

You must meet the following requirements to use Indipix:

• Be at least 13 years of age.
• Have the legal capacity to enter into a binding agreement.
• Not be barred from using the service under applicable Indian law.
• Not be a person prohibited from purchasing services online.

By using the app, you represent and warrant that you meet all eligibility requirements.

4. User Accounts

4.1 Account Creation

To access certain features, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information.
• Keep your account information up to date.
• Maintain the security of your account credentials.
• Not create accounts for others without their permission.

4.2 Account Responsibilities

You are responsible for:

• All activities under your account.
• Maintaining confidentiality of your login credentials.
• Notifying us immediately of any unauthorized access.
• All actions taken with your account.

4.3 Account Information

We collect and store the following account information:

• Name, phone number, profile photo.
• User ID (UUID).
• Location data (State, District, Tehsil/Taluka).
• Optional political party selection.
• Account timestamps and activity logs.

4.4 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, with or without cause, with or without notice, for any violation of these Terms.

5. Intellectual Property Rights

5.1 Our Property

The app, including its templates, design, code, trademarks, logos, and content, is owned by Indipix and protected by Indian copyright and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to:

• Download and use the app for personal purposes.
• Access and edit templates according to the service features.
• Use free templates for personal, non-commercial use.

You may not:

• Copy, modify, or distribute app content.
• Reverse engineer, decompile, or disassemble the app.
• Remove any copyright or proprietary notices.
• Use templates for commercial purposes without proper licensing.
• Resell or redistribute our templates.

5.2 Your Content

You retain ownership of content you upload (photos, videos, audio, text). However, by uploading content, you grant Indipix:

• A non-exclusive, worldwide, royalty-free license to store, display, and process your content.
• The right to transmit your content through our service.
• The right to make copies necessary to provide the service.

You are solely responsible for your uploaded content and warrant that you have the rights to use it.

5.3 Template Ownership

• Free Templates: Available for personal, non-commercial use only.
• Paid Templates: Usage rights depend on the license purchased (personal or commercial).
• Subscription Templates: Access to templates during active subscription period.
• Commercial Use: Requires appropriate licensing. Contact us for commercial licensing inquiries.

6. Paid Templates and Subscriptions

6.1 Payment

• Indipix offers paid templates and subscription plans.
• Payments are processed through secure third-party payment gateways.
• All prices are in Indian Rupees (INR) unless otherwise stated.
• Prices may change with prior notice.

6.2 Subscription Terms

• Subscriptions automatically renew unless cancelled.
• Subscription fees are non-refundable (see Refund Policy).
• You can cancel subscription auto-renewal through your device settings.
• Access to subscription templates ends when subscription expires.

6.3 Payment Gateway

We use third-party payment gateways for transaction processing. By making a payment, you agree to the payment gateway's terms and privacy policy. We do not store complete payment card information.

7. Refund Policy

Indipix does not provide refunds for the following reasons:

• Digital templates are instantly accessible upon purchase.
• Once a template is accessed or downloaded, it cannot be “returned.”
• Subscription fees cover ongoing access to services.
• The service is provided as a digital service with immediate delivery.

8. Prohibited Uses

8.1 Illegal Activities

• Violating any Indian laws or regulations.
• Creating content that is defamatory, obscene, or offensive.
• Promoting hate speech, violence, or discrimination.
• Impersonating any person or entity.
• Engaging in fraudulent activities.

8.2 Technical Violations

• Attempting to gain unauthorized access to our servers.
• Introducing viruses, malware, or malicious code.
• Interfering with or disrupting the service.
• Reverse engineering or decompiling the app.
• Attempting to bypass payment systems.

8.3 Content Violations

• Uploading content that infringes third-party intellectual property.
• Creating political content that violates election laws.
• Sharing content that promotes misinformation.
• Uploading inappropriate or adult content.

8.4 Account Violations

• Creating multiple accounts for abuse.
• Sharing your account credentials.
• Using automated systems to access the app.
• Scraping data from the app.

9. Device Permissions

By using Indipix, you acknowledge that the app requests the following permissions:

You may revoke permissions through device settings, but this may limit app functionality.

10. Privacy and Data Collection

Your use of Indipix is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the app, you consent to our collection and use of your data as described in the Privacy Policy.

We collect:

• Personal information (name, phone, profile photo, location).
• User content (feedback, shared templates, conversations).
• Device data (photos, videos, audio with permission).
• Administrative data (timestamps, activity logs).

11. Disclaimers

11.1 Service Disclaimer

The service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied. To the fullest extent permitted by law, Indipix disclaims all warranties including:

• Merchantability.
• Fitness for a particular purpose.
• Non-infringement.
• Accuracy of templates or content.
• Uninterrupted or error-free service.

11.2 No Professional Advice

Indipix provides template editing services only. We do not provide:

• Legal advice.
• Political advice.
• Professional design services.
• Guaranteed approval for any purpose.

11.3 Third-Party Content

The app may contain links to third-party services. We are not responsible for third-party content, services, or practices. For complete details, see our separate Disclaimer document.

12. Limitation of Liability

To the maximum extent permitted by Indian law:

• Indipix shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability shall not exceed the amount you paid to use the service, if any.
• We are not liable for any loss or damage from your use of the service.
• We are not responsible for temporary service interruptions.
• Some jurisdictions do not allow limitation of liability, so some limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Indipix, its employees, contractors, partners, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the service.
• Your violation of these Terms.
• Your uploaded content.
• Your violation of any laws or third-party rights.

14. Account Deletion

You may request account deletion at any time. Upon deletion:

• Your personal data will be deleted within 30 days.
• You will lose access to all templates and content.
• Subscription access ends immediately.
• Transaction records may be retained for legal compliance.

15. Termination

We may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms.
• Illegal or abusive behavior.
• Extended inactivity.
• Business reasons.

Upon termination, your right to use the app ceases immediately.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra, India.

17. Dispute Resolution

17.1 Amicable Resolution

We encourage you to first attempt to resolve any dispute by contacting us at connect@indipix.in.

17.2 Arbitration

If unresolved, disputes may be subject to arbitration under the Arbitration and Conciliation Act, 1996, in Mumbai, India.

18. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms in the app.
• Updating the “Last Updated” date.
• Sending in-app notification or email.

Your continued use after changes constitutes acceptance of the new Terms.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

20. Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of those rights.

21. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, Account Deletion Policy, and Disclaimer, constitute the entire agreement between you and Indipix regarding the service.
